Terms of Service

These terms govern use of the Maximbase website, private workspaces, guided conversion services, and AI-assisted knowledge workflows.

Agreement to these terms

These Terms of Service govern access to and use of the Maximbase website, product interfaces, private workspaces, guided conversion services, AI-assisted workflows, support channels, and related materials. By visiting the website, requesting a workspace, creating an account, submitting source material, or using Maximbase, you agree to these terms.

If you use Maximbase on behalf of a company or other organization, you represent that you have authority to bind that organization. In these terms, "customer," "you," and "your" refer to the person using Maximbase and, where applicable, the organization they represent.

A separate written agreement, order form, statement of work, data processing addendum, security addendum, or enterprise agreement may apply to a customer deployment. If there is a conflict between these public terms and a signed written agreement with Maximbase, the signed agreement controls for that customer relationship.

What Maximbase provides

Maximbase converts scattered operational knowledge into private, answer-ready workspaces. The service may include source intake, file preservation, document conversion, knowledge-page creation, review workflows, search, AI-assisted answers, workspace administration, support, and related advisory or implementation work.

Maximbase is designed to support reviewable knowledge operations. It does not replace your organization's responsibility for approving procedures, policies, instructions, safety material, compliance material, or decisions that rely on workspace content or AI-assisted output.

Customer content

Customer content includes source files, folders, exports, documents, spreadsheets, decks, notes, prompts, instructions, messages, review comments, workspace material, converted knowledge pages, metadata, and outputs created from or for your workspace.

As between you and Maximbase, you retain ownership of customer content. You are responsible for ensuring that you have all rights, permissions, notices, consents, and authority needed to provide customer content to Maximbase and to permit Maximbase to process it under these terms and any applicable written agreement.

You should not submit material that your organization is not permitted to share, material subject to special legal restrictions unless expressly agreed with Maximbase, or information that would require controls we have not confirmed in writing.

License to operate the service

You grant Maximbase a limited, non-exclusive, worldwide license to host, copy, process, transmit, display, transform, analyze, index, retrieve, and otherwise use customer content only as needed to provide, secure, maintain, support, troubleshoot, improve, and document Maximbase and the requested workspace services.

This license allows Maximbase to perform the work customers ask it to perform, including source preservation, conversion, extraction, classification, deduplication, contradiction review, workspace generation, answer generation, quality review, support, and service monitoring.

Maximbase does not claim ownership of customer content. We will not use customer content to build public case studies, marketing materials, benchmarks, or public examples unless you authorize that use.

Accounts, administrators, and access

Customers are responsible for managing account access, workspace users, administrator authority, credentials, single sign-on settings, organization membership, role assignments, and user activity within their workspace.

You must keep credentials secure, use accurate account information, and promptly notify Maximbase if you suspect unauthorized access, credential compromise, mistaken access, or workspace misuse.

If a customer designates administrators or authorized contacts, Maximbase may rely on instructions from those administrators or contacts unless we have reason to believe the instruction is unauthorized, unlawful, or creates a security risk.

Workspace delivery and customer cooperation

Workspace projects may depend on customer cooperation, including providing source material, answering scoping questions, identifying sensitive material, confirming intended audiences, reviewing converted material, approving access rules, and validating outputs before operational use.

Delivery timelines, fees, source-handling rules, support levels, storage expectations, workspace scope, conversion depth, export rights, and other deployment details may be set out in a written order form, statement of work, or similar agreement.

If customer inputs are incomplete, delayed, inaccurate, unauthorized, corrupted, unusually large, unusually sensitive, or outside the agreed scope, Maximbase may pause work, revise timing, request additional instructions, or decline to process that material.

AI-assisted outputs

Maximbase may use AI systems to create summaries, converted workspace material, classifications, answer drafts, search results, references, review notes, and other outputs. AI-assisted outputs can be incomplete, inaccurate, outdated, unsupported, or inappropriate for a particular use without human review.

You are responsible for reviewing, testing, approving, and supervising all outputs before relying on them, especially for legal, compliance, safety, employment, financial, medical, operational, customer-facing, or high-impact decisions.

Maximbase may provide source references, preserved originals, review notes, or other context to help customers inspect outputs. Those tools support review, but they do not guarantee that any output is correct, complete, current, or suitable for your intended purpose.

Acceptable use

You may use Maximbase only for lawful business purposes and in accordance with these terms, applicable written agreements, documentation, reasonable instructions from Maximbase, and applicable law.

  • You may not use Maximbase to violate law, infringe rights, misappropriate data, breach confidentiality obligations, or process material you are not authorized to provide.
  • You may not attempt to gain unauthorized access to systems, accounts, workspaces, source material, models, infrastructure, or security controls.
  • You may not interfere with service integrity, overload infrastructure, bypass access limits, scrape the service, transmit malware, probe vulnerabilities without authorization, or disrupt other customers.
  • You may not reverse engineer, decompile, copy, resell, sublicense, or commercially exploit Maximbase except as expressly allowed in writing.
  • You may not use Maximbase to create or distribute unlawful, deceptive, discriminatory, abusive, or harmful material.

Sensitive and regulated material

Maximbase can support operational knowledge work, but not every workspace is appropriate for every category of data. Customers must identify sensitive, confidential, regulated, export-controlled, personal, health, financial, children's, employee, union, biometric, government-identifier, or legally privileged material before submission where that context matters to processing, security, access, or retention.

Unless expressly agreed in writing, Maximbase is not designed to store or process data that requires bespoke regulatory, residency, industry, government, clinical, classified, defense, or payment-card controls.

Confidentiality

Each party may receive non-public information from the other, including source material, workspace content, business plans, technical information, security information, pricing, product plans, and implementation details. The receiving party must use reasonable care to protect confidential information and use it only for the purpose of providing or receiving Maximbase, unless otherwise agreed in writing.

Confidentiality obligations do not apply to information that is publicly available through no fault of the receiving party, already known without restriction, independently developed without use of confidential information, rightfully received from another source, or required to be disclosed by law or legal process.

Security and customer responsibilities

Maximbase uses administrative, technical, and organizational measures designed to protect the service and customer content. Security is a shared responsibility: customers must configure access carefully, limit unnecessary submissions, review user permissions, protect credentials, and avoid submitting material that requires controls not agreed with Maximbase.

No internet-based service can be guaranteed completely secure or uninterrupted. You are responsible for maintaining appropriate backups, source copies, internal controls, approval processes, and business continuity plans for your organization.

Third-party services and integrations

Maximbase may rely on third-party providers for hosting, database infrastructure, authentication, storage, analytics, logging, AI processing, email, support, security, payments, and other operational functions. These providers may process customer content or personal information as needed to provide their services to Maximbase.

Customer-approved integrations, identity providers, cloud drives, file repositories, or external systems may be governed by separate terms and privacy practices. Maximbase is not responsible for third-party services outside its control.

Intellectual property

Maximbase and its licensors retain all rights in the service, website, software, designs, workflows, models, templates, documentation, know-how, visual systems, product concepts, and other Maximbase materials. These terms do not transfer ownership of Maximbase intellectual property to customers.

Subject to your compliance with these terms and any applicable written agreement, Maximbase grants you a limited, revocable, non-transferable right to access and use Maximbase for your internal business purposes during the applicable service period.

Feedback

If you provide suggestions, ideas, requests, corrections, comments, or other feedback about Maximbase, you allow us to use that feedback without restriction or compensation. We will not identify you publicly as the source of feedback without permission.

Fees, trials, and procurement

Fees, payment timing, taxes, renewal terms, usage limits, evaluation scope, cancellation rules, and procurement requirements may be set out in a separate written agreement or order form. You are responsible for paying agreed fees and any applicable taxes, unless a written agreement states otherwise.

Free, evaluation, beta, preview, proof-of-concept, or limited-scope access may be modified, suspended, or ended at any time. Unless otherwise agreed, these services are provided for evaluation and may not include all production controls, support levels, or availability commitments.

Availability, changes, and maintenance

We aim to operate Maximbase reliably, but the service may change, pause, degrade, or become unavailable from time to time because of maintenance, updates, provider outages, security work, customer configuration, abuse prevention, or events outside our reasonable control.

We may update features, workflows, pages, models, integrations, user interfaces, documentation, policies, limits, and service infrastructure as Maximbase develops. We will use reasonable efforts to avoid materially reducing paid customer rights during an active paid service period unless needed for security, legal compliance, service integrity, or product viability.

Suspension and termination

We may suspend or terminate access if you violate these terms, fail to pay agreed fees, create legal or security risk, misuse the service, submit unauthorized material, compromise service integrity, or use Maximbase in a way that may harm Maximbase, customers, providers, users, or third parties.

Customers may stop using Maximbase at any time. Termination does not relieve either party of obligations that accrued before termination, including payment obligations, confidentiality obligations, liability limitations, intellectual-property rights, and any other provisions intended to survive.

After termination, access to workspaces, source material, converted material, and outputs may be limited or removed according to the applicable written agreement, retention needs, legal obligations, security requirements, and operational backup practices.

Disclaimers

To the maximum extent permitted by law, Maximbase is provided on an "as is" and "as available" basis except as expressly stated in a written agreement. We do not warrant that the service will be uninterrupted, error-free, secure, complete, or fit for every particular purpose.

Maximbase is not a legal, financial, tax, accounting, medical, safety, compliance, employment, procurement, engineering, or other professional advisory service. Customers remain responsible for decisions, approvals, policies, controls, external obligations, and professional review.

Some laws do not allow certain exclusions, warranties, or limits. Nothing in these terms excludes rights or remedies that cannot be excluded under applicable law.

Limitation of liability

To the maximum extent permitted by law, Maximbase is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of goodwill, lost data, business interruption, procurement costs, or reputational harm arising from or related to use of the service.

To the maximum extent permitted by law, Maximbase's aggregate liability for all claims arising from or related to the service is limited to the amounts paid by the customer to Maximbase for the service giving rise to the claim during the three months before the event giving rise to liability, or one hundred US dollars if no paid service applies.

Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Maximbase from claims, losses, liabilities, damages, costs, and expenses arising from your customer content, your use of Maximbase, your violation of these terms, your violation of law, your infringement or misappropriation of third-party rights, or your unauthorized disclosure or submission of material.

Updates to these terms

We may update these terms as Maximbase develops, laws change, provider requirements change, or our service model evolves. The updated version will be posted on this page with a new effective date. Material changes will apply prospectively unless a written agreement states otherwise.

If you continue using Maximbase after updated terms take effect, you accept the updated terms. If you do not agree to updated terms, you should stop using Maximbase and contact us about offboarding or account closure.
